This Agreement is entered into by and between the provider and operator of AI MindClip products and services (hereinafter referred to as "SwitchBot" or "we", including SWITCHBOT Co., Ltd., Wonderlabs Inc., and their parent companies, subsidiaries or affiliates) and all parties using AI MindClip products and services (including but not limited to individuals and teams, hereinafter referred to as "users" or "you") with respect to the use of AI MindClip products and services, and constitutes a legally binding agreement between the parties. This Agreement applies to AI MindClip products and services (hereinafter referred to as the "Service"), including the AI MindClip App, the Web portal, AI MindClip devices, and related functions, cloud services, AI services, value-added services, software upgrades, updates and continuously iterated content that we provide to you through the foregoing product forms. By using AI MindClip products and services, you indicate that you have read, understood and accepted all terms of this Agreement.
We fully respect the protection of users' personal information. Please read the AI MindClip Privacy Policy so that you can fully understand the policies and procedures we follow when collecting and using users' personal information in providing the AI MindClip products/services.
Article 1 User Registration and Account Management
1.1 Account registration: Users must register an account before using the Service. The Service and the SwitchBot App share the same account system. Users who already have a SwitchBot account may log in directly through login entrances such as the AI MindClip App and the Web portal without re-registering. New users may register an account by the following methods:
- Email registration: complete registration by entering a valid email address and password;
- Mobile phone registration: complete registration by entering a valid mobile phone number and verifying it by SMS verification code;
- Third-party account authorization: login through third-party accounts such as Apple ID and Google account is supported, subject to the actual options displayed in the App.
1.2 Accuracy of information: Users undertake and warrant that the registration information they provide is accurate, complete and up to date, and that they will promptly update it when such information changes.
1.3 Account security: Users are fully responsible for the management and use of their accounts and must keep all account information, such as passwords and verification codes, strictly confidential. We shall not be liable for any loss caused by theft of a user's account or password due to the user's fault. In addition, the user shall be responsible for any loss caused to us or any third party, if any.
1.4 Non-transferability of account: Users may not transfer, lend, lease or share their accounts with any third party in any form. Any operation conducted through a user's account shall be deemed to be the user's own act, and the user shall bear all liabilities arising therefrom.
1.5 Minors: Minors under the age of 18 must use the Service under the supervision of their guardians or with the written consent of their guardians.
1.6 Account deletion: Users may apply to delete their accounts through the account settings in the App. Before deletion, please carefully read the following important notice:
Account Deletion Risk Notice
Because the AI MindClip App and the SwitchBot App share the same account system, deletion of the AI MindClip App account will affect both Apps. The specific consequences are as follows:
- Simultaneous deletion of the SwitchBot App account: your account in the SwitchBot App will also be deleted, and remote control, automation scenes, historical data and other functions of all SwitchBot devices, such as smart switches, curtains and robot vacuum cleaners, will become unavailable;
- Data cannot be restored: after deletion, all audio, transcription records, device configurations, automation scenes and other data under AI MindClip and the SwitchBot App will be permanently deleted and cannot be restored;
- Termination of paid services: if you hold an active subscription service, including membership or paid plans, the subscription will terminate immediately after deletion, and paid fees will not be refunded except where mandatory laws provide otherwise. Please apply for deletion after your subscription expires;
- Device unbinding: all AI MindClip and SwitchBot devices bound to the account will be automatically unbound and must be reconfigured before they can be used again.
If you only wish to stop using the AI MindClip Service, you may choose to unbind the device or disable the Service in the AI MindClip App without deleting your account, so as not to affect normal use of the SwitchBot App.
If you confirm deletion of your AI MindClip App or SwitchBot App account, the system will complete the deletion within a reasonable period after you submit the application. During the deletion period, the account will be frozen, and data will be retained for the period required by law before deletion.
Article 2 Service Content and Usage Notice
2.1 Based on AI MindClip devices, the App, the Web portal and related cloud services, we provide users with services including but not limited to the following. The specific service content, available scope and functional forms are subject to the actual page display and continuous iteration results:
- Audio storage and editing functions: cloud storage is provided for recording audio uploaded or synchronized by you, so that you may view, play back, edit, manage or delete it through the App, the Web portal or other service entrances within the corresponding functional scope.
- Speech-to-text function: relying on speech recognition technology, audio content is accurately converted into text drafts with standardized format and clear structure, making it convenient for you to edit, archive and share.
- AI transcription function: AI models are used to automatically parse recording content, extract key information, and generate summaries in various forms, including structured summaries, action items or content outlines.
- Audio transmission function: AI MindClip devices support audio transmission in the following two ways:
(1) Bluetooth or local network quick transfer: after the device establishes a Bluetooth or local network connection with the App, the audio files stored on the device will be automatically transferred to the App, and the App will upload them to the cloud server through an encrypted channel;
(2) Charge \& Sync: when the device is charging and connected to the Wi-Fi network configured by you, the device may automatically upload audio files directly to the cloud server without passing through the App. To enable Charge \& Sync, Wi-Fi configuration and Charge \& Sync are enabled by default at the same time. You may manage Wi-Fi configuration or disable Charge \& Sync in the App under “Settings → Wi-Fi Settings”. If you disable either setting, Charge \& Sync will no longer be available.
Please note that AI-generated outputs may be incomplete, inaccurate or inapplicable due to data sources, algorithmic limitations, model bias or generation errors. When using the outputs, users should independently judge their accuracy and applicability and seek professional advice where necessary. We assume no liability for any direct or indirect loss caused by reliance on outputs generated by this function.
2.2 Fees and Payment
2.2.1 Depending on actual circumstances, such as different countries or regions, the service plans we provide to users may vary. To meet different user needs, we provide different service plans:
Free service: we provide all users with a certain amount of free service. After a user adds an AI MindClip device in the App and activates an account, the user may obtain 300 minutes of speech-to-text time per month, subject to our final interpretation and possible adjustment at any time, as well as basic functions such as audio editing and file management.
Paid services: paid services may include subscription plans, AI MindClip transcription packages and other value-added services. AI MindClip transcription packages are one-time purchased transcription service entitlements that will be issued to your account after purchase and may be used according to the page instructions. The specific name, price, validity period, available purchase regions, purchase restrictions and usage rules are subject to the purchase page or official instructions.
2.2.2 Users who use paid services must complete payment through the purchase entrances and payment channels supported by us, including app stores or other channels actually displayed on the page. Users are responsible for ensuring that the information relating to their payment method is accurate and valid, especially when changing payment methods or when a payment method has expired. If you purchase through the App Store, Google Play or another third-party platform, payment, cancellation, refund and other matters may also be subject to the rules of such platform.
2.2.3 If a user has activated an automatically renewable subscription, we will charge the user's payment method on a monthly basis on the calendar day corresponding to the subscription date, or, if there is a free trial, on the day the free trial ends, which is the billing date.
2.2.4 If a user wishes to cancel a subscription, the user may do so directly through the App Store or Play Store, but must cancel at least three calendar days before renewal on the next billing date to avoid being charged for the next billing cycle. If the user cancels at or after renewal for the next billing cycle, the cancellation will take effect on the next billing date and the user must still pay the fee for that billing cycle. If a refund, transaction reversal or payment abnormality occurs, we may handle the corresponding paid entitlements according to the order status, platform rules and legal requirements. For AI MindClip transcription packages, we may recover the unused entitlements corresponding to the order, and the used portion will be handled according to customer service or platform rules.
2.2.5 Users understand that the Service only provides relevant network services. Devices related to such network services, such as personal computers, mobile phones and other devices for accessing the Internet or mobile networks, and the required fees, such as telephone charges and Internet access fees for accessing the Internet and mobile phone charges for using mobile networks, shall be borne by users themselves.
2.2.6 You may bind multiple AI MindClip devices under the same account. Related services for all devices are activated under that account, and you do not need to register or purchase an additional account. If you voluntarily disable the Service, all devices bound under your account will simultaneously stop using the Service. When you enable the Service again, the system will display this Agreement and all privacy policies related to the AI MindClip Service again for you to read and confirm.
2.2.7 When you first bind any AI MindClip device through your account, we may display this Agreement and the privacy policies related to the AI MindClip Service, and ask you to read and confirm your consent. Once you check the consent box, such consent applies to all existing and future devices bound under your account. When you subsequently open that device again or enable the AI MindClip Service on another device already bound to the account, we will deem that you have fully read and accepted the above agreements, and the system will not display them repeatedly.
Article 3 Ownership
3.1 Users agree and acknowledge that we or our licensors own all legal rights, title and interests in and to the Service, including but not limited to the graphics, user interface, scripts, software and text used to perform this function, and any software provided to users as part of or in connection with this function ("Software"), including any and all intellectual property rights therein, whether registered or not and wherever located in the world. Users further agree that this function, including its Software and any other parts, contains proprietary and confidential materials protected by applicable intellectual property laws and other laws, including without limitation copyright laws. Users undertake not to use such proprietary information or materials in any way except for the purpose of using this function under this Agreement. Except as expressly permitted by this Agreement, no part of this function may be copied in any form or by any means.
3.2 We reserve complete and indivisible ownership and intellectual property rights in the following content, including information, materials, text, software, music, audio, photos, graphics, videos, users' registration information or other materials (collectively, "Content"): except for content uploaded or transmitted by users themselves, this function and all of its elements, including without limitation all content, data, technology, software, code, user interfaces and any derivative works related thereto.
3.3 With respect to content generated by using the Service: provided that laws, regulations and third-party rights are not violated and the restrictions on the use of AI models/material libraries are complied with, users may use and share their generated content in accordance with the laws of their region. We and our licensors reserve all rights in the AI models, algorithms and systems of the Service.
Article 4 Undertakings and Warranties
4.1 Users warrant that the content they upload to this function shall not directly or indirectly involve any of the following acts:
4.1.1 Removing, concealing or altering any patent, copyright, trademark or other proprietary notice displayed on or contained in this function;
4.1.2 Interfering or attempting to interfere in any way with the normal operation of this function or any part of our the Web portal or App;
4.1.3 Circumventing, attempting to circumvent or claiming to be able to circumvent any content protection mechanism or data measurement tool of this function;
4.1.4 Using in text or graphic form any registered or unregistered goods, service marks, company logos, URLs or other marks originating from us without our prior written consent;
4.1.5 Using any SwitchBot mark or MindClip mark, including without limitation using such marks in a manner that tarnishes, dilutes or impairs the rights of the owners of such marks, or granting any rights or permissions to themselves or others in a manner inconsistent with this Agreement, unless expressly indicated by us in writing;
4.1.6 Impersonating another person without authorization to obtain access to this function.
If a user violates any of the above warranties, we have the right, depending on the circumstances, to give a warning, block the user or disqualify the user. If losses are caused to other users, us or any of our partners as a result, the user shall bear all legal liabilities and provide compensation.
4.2 Users undertake that:
4.2.1 They have obtained written authorization from the right holder, if any, of the content they upload, publish, transmit or disseminate through this function, and warrant that before submitting/uploading such content to this App they have full, complete, unencumbered and exclusive ownership and intellectual property rights in such content;
4.2.2 The content uploaded, published, transmitted or disseminated does not contain any information that violates applicable laws, regulations or policies;
4.2.3 They will not use this function for any illegal purpose, use this function in any form to infringe our commercial interests, including without limitation publishing commercial advertisements without our permission, or use this function to conduct any act that may adversely affect the normal operation of the Internet or mobile networks;
4.2.4 Users shall not use this function to engage in the following activities: (1) entering computer information networks or using computer information network resources without permission; (2) deleting, modifying or adding functions of computer information networks without permission; (3) deleting, modifying or adding data or applications stored, processed or transmitted in computer information networks without permission; (4) intentionally creating or disseminating destructive programs such as computer viruses; or (5) other acts endangering computer information network security.
4.2.5 Users acknowledge that the Service includes generative AI services. Due to the nature of generative AI services, a user's output may not be unique, and other users may generate content similar or identical to your output by providing the same or similar user input. If we or our partners receive complaints, reports, claims or lawsuits, or suffer reputational or property losses, because the content or acts uploaded, generated or disseminated by a user through this function infringe the lawful rights and interests of any third party, including without limitation patents, trademarks, copyrights and neighboring rights, portrait rights, privacy rights and reputation rights, the user shall actively take measures to ensure that we and our partners are not affected, and shall be fully liable for all direct and indirect losses arising therefrom.
4.2.6 Users shall not abuse this function. This function cannot control in advance all content and user conduct. Any text, audio, links, files or other content uploaded, generated, exported, disseminated or shared through this function, whether transmitted publicly or privately, shall be the sole responsibility of the content provider and user for their uploading, use, export, sharing, link permissions, validity periods, recipient management and other acts. You shall ensure that you have lawful rights to the relevant content, and obtain necessary authorization and take appropriate protection measures before sharing or exporting content that may contain personal information, meeting content, trade secrets or other sensitive information.
4.2.7 Additional restrictions related to this function: users may not generate or disseminate illegal content; may not remove or tamper with visible/invisible identifiers or watermarks added by the system; may not use the function for deepfakes or impersonation to mislead the public; may not use the function for high-risk purposes such as medical diagnosis, life support or automated security determination; and may not reverse engineer models, scrape in bulk or use the function to train products competing with the Service.
4.2.8 If we discover through notices, reports or other channels that a user's conduct does not comply with our requirements or with the laws and regulations of the user's country/region, we have the right to make an independent judgment, immediately terminate provision of part or all of the services without prior notice, and require the user to make corrections or directly take all measures we deem necessary, including without limitation changing or deleting user content and suspending or terminating the user's right to use this function, in order to mitigate the impact. If a user disseminates or spreads reactionary, pornographic or other information through this function that violates the laws and regulations of other countries or regions, system records of this function may be used as evidence of the user's violation of laws and regulations. Any third-party claims or losses caused by the user's conduct shall be borne solely by the user.
Article 5 Intellectual Property Protection
If content uploaded by a user allows other users to download, view, listen to or otherwise access or distribute it, the user must ensure that the publication of the content and related acts comply with applicable intellectual property laws, regulations and copyright policies, including without limitation:
5.1 Upon receipt of an infringement notice, the user shall immediately delete or disable access to the allegedly infringing content and contact the person who delivered the notice to obtain details;
5.2 The user acknowledges and agrees that we will handle qualified infringement notices issued by third parties in accordance with relevant laws and regulations, delete or disable access to the allegedly infringing content as required, and adopt and implement appropriate policies with a view to preventing repeated infringement under corresponding circumstances.
Article 6 Privacy Protection
6.1 We fully respect the protection of users' personal information. SwitchBot's privacy policy and the AI MindClip Privacy Policy set out the relevant policies and procedures that the App, the Web portal and the Service follow in collecting, transmitting, using and storing users' personal information.
6.2 We will not disclose or provide to third parties any non-public content stored by users in this function, unless: (1) required by laws and regulations or lawful service procedures; (2) necessary in an emergency to protect the rights and interests of users and the public; (3) necessary to protect our intellectual property rights and any other lawful rights and interests; or (4) other circumstances where personal information must be disclosed, edited or revealed in accordance with law.
Article 7 Disclaimer
7.1 Given that this function is a network service and due to its special nature, users agree and understand that, in the event of network failures not caused by our intentional act, part or all of the services may be changed, interrupted or terminated. Once we discover and verify a network failure, we will give prior notice as far as possible, but we are not required to assume any liability to any user or third party.
7.2 The Service requires regular or irregular inspection or maintenance of the platform or related equipment providing network services. If the Service is interrupted within a reasonable period as a result, we shall not be liable, but shall give prior notice as far as possible.
7.3 Any disputes or losses caused by a user's authorization of a third party, including a third-party application, to access/use the user's content in this function shall be the user's own responsibility and shall have nothing to do with us.
7.4 The following matters, including without limitation, shall not be attributed to us, and we shall not bear legal liability for any damage caused to users thereby: (1) implementation of planned maintenance; (2) natural disasters such as earthquakes, typhoons, floods and storms, outbreaks of infectious diseases, wars, civil strife and riots; (3) orders of administrative or judicial authorities; (4) failures of users' own devices; (5) defects in the client environment; (6) failures in settings implemented by users for the Service environment, computers, etc.; (7) failures of network lines connected to cloud services; (8) improper operations by users; and (9) third-party attacks and cheating.
7.5 Limitations of AI-generated functions: we do not warrant the accuracy, reliability or applicability of generated results. Users understand that AI models may be affected by technical limitations or data bias, and outputs may be inconsistent with expectations. Users should make their own judgments in combination with other information and bear the risks of relying on AI outputs. The Service is not suitable for high-risk scenarios such as medical diagnosis, life support or automated security determination.
Article 8 Miscellaneous
8.1 We own the final right to interpret this Agreement.
8.2 This Agreement takes effect upon publication. We have the right to modify the contents of the Agreement at any time, and the revised version will be published on our the Web portal or App. If a user does not agree to the modification, the user has the right to stop using this function. Continued use shall be deemed acceptance of the modification.
8.3 All notices to users under this Agreement may be made by means including but not limited to announcements and emails. Such notices shall be deemed delivered to the recipient on the date of sending.
8.4 This Agreement constitutes the entire agreement between the parties with respect to the matters agreed herein and other related matters, and no other rights are granted to any party except as provided in this Agreement.
8.5 If any provision of this Agreement is wholly or partially invalid or unenforceable for any reason, the remaining provisions of this Agreement shall remain valid and binding on all parties.
